⚠ IMPORTANT This document is a legally binding contract between VicFarms and its users. By using the platform, you agree to the terms presented in this document. Please read it carefully before use. |
General Terms of Use

These General Terms and Conditions of Use (hereinafter "GTC") govern access to and use of the VicFarms platform, accessible via the mobile application (Android and iOS) and the web platform (hereinafter collectively referred to as "the Platform"), developed and operated by VicFarms SARL, "the Company".
By accessing or using the Platform, you (hereinafter "the User") agree to be bound by these Terms of Use. If you do not agree to these terms in their entirety, you must immediately cease using the Platform.

Article 1 —Definitions |
For the purposes of these Terms and Conditions, the following terms have the meanings ascribed to them below:

Article 2 —Registration requirements |
2.1 Eligibility
To register and use the Platform, you must:
▸ Be at least 18 years old or, if you are a minor, have obtained the written consent of your legal representative;
▸ To have full legal capacity to enter into contracts;
▸ Provide accurate, complete and up-to-date information when registering;
▸ Have a valid mobile phone number in the CEMAC zone;
▸ Accept these Terms of Use and the Privacy Policy.
2.2 Registration Process
Registering on the Platform requires the following steps:
1. Downloading the mobile application or accessing the web platform;
2. Enter a valid phone number and a secure password;
3. Verification of phone number via OTP (One-Time Password) code;
4. Profile information (name, location, type of agricultural activity);
5. For Vendors: submission of documents relating to agricultural equipment and validation by the VicFarms team.
2.3 Account Security
The User is solely responsible for maintaining the confidentiality of their login credentials. They agree to:
▸ Do not share your login details with third parties;
▸ Immediately inform VicFarms of any unauthorized access to your account;
▸ Use a strong password of at least 8 characters, including uppercase letters, numbers, and special characters.

Concrete example A farmer registers with his number +237 6XX XXX XXX. He receives a 6-digit verification SMS valid for 10 minutes. After validation, his profile is active and he can make reservations. |

Article 3 —User Responsibilities |
3.1 General Obligations
Each User agrees to use the Platform legally, ethically, and in accordance with these Terms of Service. In particular, they agree to:
▸ To provide truthful information and keep it up to date;
▸ Respect the rights of other users;
▸ Do not disrupt the normal operation of the Platform;
▸ Comply with all applicable legislation in Cameroon and the CEMAC zone.
3.2 Specific Responsibilities of Farmers
As a farmer, you commit to:
▸ Describe your agricultural needs precisely when booking;
▸ Ensure the availability of the land and access conditions before the intervention;
▸ Make the payment within the agreed timeframe using the payment methods available on the Platform;
▸ Honestly evaluate the service received via the Platform's rating system;
▸ Report any incident or problem that occurred during a service.
3.3 Specific Responsibilities of Vendors
As a Vendor, you agree to:
▸ Maintain your equipment in good working order and compliant with safety standards;
▸ Honor accepted reservations and intervene within agreed timeframes;
▸ To hold all the permits, licenses and insurances required to operate;
▸ Do not subcontract the reserved services without prior agreement from VicFarms;
▸ Provide transparent pricing that matches the prices displayed on the Platform.

⚠ IMPORTANT Any vendor who cancels more than 3 confirmed reservations within 30 days without a valid reason will be penalized. may be subject to temporary or permanent suspension of their account. |

Article 4 —Intellectual property |
The VicFarms Platform, including its source code, interfaces, logo, trademarks, databases, algorithms and all content created by VicFarms (hereinafter "Proprietary Content") is the exclusive property of VicFarms SARL and is protected by Cameroonian and international intellectual property laws.
4.1 Limited License Granted to the User
VicFarms grants the User a non-exclusive, non-transferable, revocable and limited license to:
▸ Download and use the mobile application on your personal device;
▸ Accessing the web platform as part of normal use;
▸ View and use the Platform's features in accordance with these Terms of Use.
4.2 Restrictions
The User is strictly prohibited from:
▸ Copying, modifying, distributing, selling or renting all or part of the Platform;
▸ Perform reverse engineering or attempt to extract the source code;
▸ Remove or modify intellectual property notices;
▸ Using the name, logo or trademarks of VicFarms without prior written authorization.
4.3 User Content
By posting content on the Platform (photos, reviews, descriptions), the User grants VicFarms a worldwide, non-exclusive, royalty-free license to use, reproduce and display this content for the purposes of operating the Platform.

Article 5 —Usage restrictions |
Users agree not to use the Platform to:

Article 6 —Account suspension and deletion |
6.1 Temporary Suspension
VicFarms reserves the right to temporarily suspend a user account in the following cases:
▸ Proven failure to comply with these Terms and Conditions;
▸ Reporting fraudulent or abusive behavior;
▸ Dispute in progress between the User and another user of the Platform;
▸ Request from judicial or administrative authorities.
The temporary suspension period is 7 to 30 days depending on the severity of the breach. The user is notified by SMS and/or email with a statement of the reasons.
6.2 Termination
VicFarms may permanently close an account in the event of:
▸ Serious or repeated violation of these Terms and Conditions;
▸ Proven fraud, swindling or illegal behavior;
▸ Identity theft;
▸ Court decision.
6.3 Voluntary Deletion
The User can request the deletion of their account at any time from the application settings or by contacting support@victorytractor.cm . Any pending transactions must be completed before deletion.

Article 7 —Limitation of liability |
TO THE EXTENT PERMITTED BY APPLICABLE LAW, VICFARMS SHALL NOT BE LIABLE FOR:
▸ Any indirect, incidental, special or consequential damages arising out of the use of or inability to use the Platform;
▸ Any damage caused by a Vendor during the performance of a Service — the responsibility for proper performance rests exclusively with the Vendor;
▸ Any loss of data, revenue or profits resulting from an interruption of service;
▸ All content published by users on the Platform;
▸ Any malfunction related to a third-party telecommunications or Mobile Money network.
VicFarms' liability, when incurred, is limited to the total amount of commissions paid by the User during the 3 months preceding the damage.

⚠ IMPORTANT VicFarms acts as an intermediary for connecting parties. VicFarms is not a party to the service contract between the Farmer and the Vendor. It is up to each party to ensure the conditions of the service. |

Article 8 —Applicable law and jurisdiction |
These Terms and Conditions are governed and interpreted in accordance with Cameroonian law and the provisions of OHADA law applicable in the CEMAC zone.
8.1 Amicable settlement
In the event of a dispute relating to the interpretation or execution of these Terms and Conditions, the parties undertake to seek an amicable solution within 30 days of notification of the dispute by registered letter or email with acknowledgement of receipt.
8.2 Jurisdiction
In the absence of an amicable settlement, any dispute shall be subject to the exclusive jurisdiction of the commercial courts of Yaoundé, Cameroon, notwithstanding multiple defendants or third-party claims.
8.3 Language
These Terms and Conditions are written in French. In the event of a translation into another language, the French version shall prevail.
